1. Who we are

BriefHQ ("BriefHQ", "we", "us") is operated by NovaPath Studios. By using the service you are entering into an agreement with NovaPath Studios.

2. Acceptance

By accessing or using BriefHQ, you agree to these Terms. If you do not agree, do not use the service. If you use BriefHQ on behalf of an organization, you confirm you have authority to bind that organization.

3. The service

BriefHQ helps agencies collect client requirements through smart intake links and generate structured project briefs using AI. We do not guarantee uninterrupted or error-free operation. Outputs are AI-assisted and should be reviewed before use; they are not a substitute for professional advice.

4. Acceptable use

You must not misuse the service, including by: using it unlawfully or fraudulently; sending spam; infringing intellectual property or privacy rights of others; uploading malware; probing, scraping, or interfering with security; jailbreaking or attempting to bypass content safeguards; or generating illegal, deceptive, or harmful content.

5. Your content & AI outputs

You retain ownership of the content you submit. You grant us a limited license to host and process it solely to operate the service. You are responsible for the inputs you provide, for verifying the accuracy of generated briefs, and for having the rights to any material you submit. We may remove content or suspend accounts for repeated rights-holder complaints or policy violations.

6. Intellectual property

NovaPath Studios retains all rights, title, and interest in the BriefHQ software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. You may not reverse engineer, resell, or circumvent technical limits.

7. Payments & subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms. Subscriptions renew automatically until cancelled.

8. Suspension & termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated policy violations. On termination, your right to use the service ends; you may export your data within a reasonable window before deletion.

9. Warranties & liability

The service is provided "as is" to the fullest extent permitted by law; we disclaim all implied warranties including merchantability and fitness for a particular purpose. To the maximum extent permitted by law, our aggregate liability is capped at the fees you paid in the 12 months before the claim. We are not liable for indirect, consequential, or special damages. Nothing in these Terms limits liability that cannot be excluded by law.

10. Changes

We may update these Terms from time to time. Continued use after changes constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which NovaPath Studios is established, without regard to conflict-of-law principles.
